Contemplated financing
Ashes of the Phoenix, Inc., a Delaware corporation and the company behind the VeriLens AI project, is publicly soliciting indications of interest for a contemplated financing using a Simple Agreement for Future Equity (“SAFE”) in reliance on Rule 506(c) of Regulation D under the U.S. Securities Act of 1933. Ashes of the Phoenix, Inc. would be the issuer. This communication is a general solicitation. It is not itself an offer to sell or an acceptance of an offer to buy.
Who may purchase
Any eventual sale will be limited to purchasers whom Ashes of the Phoenix, Inc. has taken reasonable steps to verify are accredited investors and whom the company reasonably believes are accredited at the time of sale. A form selection or self-certification is not verification. The current round is additionally limited by the company to United States residents.
Definitive documents control
No securities are offered or sold except through definitive financing documents, including the applicable SAFE and investor representations, delivered separately and accepted by an authorized officer of Ashes of the Phoenix, Inc. Those documents, not this website, will state the economic terms and govern any investment. Ashes of the Phoenix, Inc. may change, suspend, or withdraw the contemplated offering at any time.

Securities sold under Rule 506(c) are restricted securities and cannot be freely resold. A SAFE is not current stock, debt, or a bank deposit. It has no interest, maturity date, voting rights, or dividends and may never convert.
